1. Acceptance of Terms

By creating an account or using cece ai ("Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

cece ai is an AI-powered email assistant that helps business owners manage email communications. The Service includes:

  • Receiving and classifying incoming emails sent to your cece-managed email address
  • Analyzing email intent, sentiment, and context using artificial intelligence
  • Generating and sending email responses on your behalf based on your business configuration
  • A dashboard for managing conversations, reviewing AI actions, and configuring your business profile

3. Autonomous AI Actions

You understand and agree that the Service operates autonomously by default. This means:

  • Automatic responses: When the Service receives an email from a sender whose domain matches your configured business domain(s), the AI will generate and send a response directly to the sender without requiring your prior review or approval
  • Domain matching: The Service only processes and responds to emails from domains you have explicitly configured. Emails from unrecognized domains are not processed
  • Draft mode (optional): You may configure the Service to require your approval before sending responses. If you do not enable draft mode, the Service sends responses autonomously
  • Explicit draft requests: If you specifically instruct the AI to "write a draft" or "let me review," the AI will provide a draft for your approval rather than sending autonomously

By using the Service with autonomous mode enabled (the default), you authorize us to send emails on your behalf without individual message approval. You are responsible for properly configuring the Service (business details, tone, FAQs, approved domains) to ensure AI-generated responses are appropriate.

4. Your Responsibilities

You are responsible for:

  • Accurate configuration: Providing accurate and complete business information, including services, pricing, FAQs, and response guidelines. The quality of AI responses depends on the quality of your configuration
  • Domain management: Only configuring domains you own or are authorized to represent. You must not configure domains belonging to third parties
  • Monitoring: Periodically reviewing AI-generated responses and conversation logs in the dashboard to ensure accuracy and appropriateness
  • Compliance: Ensuring your use of the Service complies with all applicable laws and regulations, including CAN-SPAM, GDPR, and any industry-specific regulations
  • Customer disclosure: Informing your customers and contacts, where required by law, that you use an AI email assistant to process and respond to communications
  • Account security: Maintaining the confidentiality of your account credentials and notifying us immediately of unauthorized access

5. AI-Generated Content Disclaimer

AI-generated email responses are produced by third-party AI models (Anthropic Claude and OpenAI GPT-4o mini) based on your business configuration and conversation context. You acknowledge that:

  • AI-generated content may occasionally be inaccurate, incomplete, or inappropriate despite reasonable safeguards
  • The Service is not a substitute for professional advice (legal, financial, medical, or otherwise)
  • You bear ultimate responsibility for all communications sent from your cece-managed email address, whether AI-generated or manually composed
  • We are not liable for any damages arising from AI-generated responses sent on your behalf

6. Acceptable Use

You agree NOT to use the Service to:

  • Send spam, unsolicited bulk emails, or commercial messages to recipients who have not consented
  • Engage in fraudulent, deceptive, or illegal activities
  • Impersonate another person or entity
  • Violate any applicable laws or regulations (including CAN-SPAM, GDPR, CCPA)
  • Infringe on intellectual property rights of any third party
  • Harass, abuse, threaten, or harm others
  • Distribute malware, viruses, or other harmful code
  • Attempt to circumvent security measures, access other users' data, or interfere with the Service's operation
  • Use the Service to generate content that violates our AI providers' usage policies

We reserve the right to suspend or terminate your account for violations of this section, with or without notice.

7. Pricing, Payment & Subscription

  • Pricing: Starting at $88/month per business, billed monthly
  • Free trial: 30-day free trial. No credit card required to start. You will be notified before billing begins
  • Automatic renewal: Subscriptions renew automatically each month. You may cancel at any time
  • Cancellation: You may cancel your subscription at any time through the dashboard or by contacting support. Cancellation takes effect at the end of the current billing period. No refunds for partial months
  • Price changes: We will provide at least 30 days' notice of any price increases. Continued use after the effective date constitutes acceptance

8. Intellectual Property & Data Ownership

  • Your data: You retain all rights to your business information, email content, and configuration data. We claim no ownership over your content
  • License to us: You grant us a limited, non-exclusive license to process your data as necessary to provide and improve the Service
  • Our Service: The cece ai platform, including its software, design, branding, and documentation, is our intellectual property. You may not copy, modify, distribute, or reverse-engineer any part of the Service
  • AI-generated content: Email responses generated by the Service on your behalf are considered your content once sent. You may use them freely
  • Feedback: If you provide suggestions or feedback about the Service, we may use it to improve our products without obligation to you

9. Account Termination

  • By you: You may close your account at any time through the dashboard or by contacting support. Upon closure, the Service will stop processing emails on your behalf immediately
  • By us: We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with 30 days' notice
  • 30-day recovery period: When you request account deletion, your account is deactivated immediately but you have 30 days to log back in and restore it. The Service will not process emails during this period
  • Permanent deletion: After 30 days, all data is permanently and irreversibly deleted, including user data, business configuration, messages, conversations, quotes, invoices, knowledge, subscriptions, and usage logs. This deletion cannot be undone
  • Data export: You may export your data before or within 30 days after account deactivation. After permanent deletion, data cannot be recovered
  • Data retention schedule: See our Privacy Policy for details on email content retention (90 days), metadata purging, and other retention policies

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WE DO NOT WARRANT THAT AI-GENERATED RESPONSES WILL BE ACCURATE, APPROPRIATE, OR ERROR-FREE
  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR ACTIONS TAKEN BY THE AI ON YOUR BEHALF, INCLUDING EMAILS SENT AUTONOMOUSLY

11. Indemnification

You agree to indemnify and hold harmless cece ai, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) emails sent by the Service on your behalf; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your infringement of any third party's rights.

12. Dispute Resolution

  • Informal resolution: Before filing any formal dispute, you agree to contact us at legal@meetcece.ai and attempt to resolve the dispute informally for at least 30 days
  • Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules. Arbitration will take place in the United States, and may be conducted remotely
  • Class action waiver: You agree to resolve disputes individually and waive any right to participate in a class action or class-wide arbitration
  • Small claims exception: Either party may bring qualifying claims in small claims court

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

14. Modifications to Terms

We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or through the Service dashboard. Your continued use of the Service after the effective date of any modification constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and close your account.

15. Age Requirement

You must be at least 18 years old to use the Service. By creating an account, you represent that you are at least 18 years of age.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and cece ai regarding the Service and supersede all prior agreements and understandings.
